Terms of Service

These Terms govern use of the Argus dBL website and platform at argusdbl.com and its subdomains (the “Platform”), operated by ARGUS DBL LLC (“Platform Operator”, “we”). By using the Platform you agree to these Terms.

1.Other agreements

The Argus dBL Issuing Carrier Agreement and the Electronic Signature & Control Transfer Consent govern the matters they address; these Terms apply to everything else. Where they conflict on a matter the specific agreement addresses, the specific agreement controls.

2.Business use

The Platform is for businesses. By using it you represent that you act on behalf of a business.

3.Role of the Platform Operator

Argus dBL provides the electronic transfer and authenticity record of Digital Bills of Lading. The Platform Operator is a technology service provider. It is not a carrier, freight forwarder, customs broker or bank; it is not a party to any contract of carriage; it never takes title to or possession of any cargo; and it has no knowledge of the contents of any Bill of Lading.

4.Accounts

You are responsible for your account, its users and their credentials, and for everything done through your account. Notify us promptly of any unauthorized use.

5.Acceptable use

You will not: use the Platform for any unlawful purpose; attempt to gain unauthorized access to the Platform or any connected system; interfere with its operation or security; reverse engineer it except where the law allows; or submit material that is fraudulent or infringes the rights of others.

6.Intellectual property

The Platform, including its software, design, content and the Argus dBL name and marks, belongs to the Platform Operator or its licensors. You receive no rights in it except those these Terms state.

7.Third parties

Content and links provided by third parties, including a carrier’s terms of carriage, are not ours, and we are not responsible for them.

8.Privacy

Our Privacy Policy explains how we handle information and forms part of these Terms.

9.Sanctions and compliance

You represent that you are not subject to applicable sanctions and that your use of the Platform complies with export control, sanctions, anti-money-laundering and anti-corruption laws. We may decline or suspend any use we reasonably believe may violate the law, and may report suspected unlawful activity to the authorities.

10.No warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

11.Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THE PLATFORM, AND OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR, IF NONE, USD 100.

Nothing in these Terms excludes liability that cannot be excluded by law.

12.Indemnity

You will indemnify the Platform Operator and its affiliates, officers, employees and agents against claims, losses and reasonable costs arising from your use of the Platform or your breach of these Terms.

13.Suspension

We suspend a dBL only where required by a court order or applicable law. We freeze an account only at the request of the account holder, where required by a court order or applicable law, or where we have reason to believe that the account has been compromised or that a serious security incident has occurred. We may refuse service where the law requires.

14.Changes

We may change these Terms. Changes are posted on the Platform with a new effective date; continued use after that date is acceptance.

15.Governing law

These Terms are governed by the laws of the State of Wyoming, United States of America. Disputes are subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

16.General

If any provision is unenforceable, the rest remains in effect. These Terms, together with any agreement specific to your use, are the entire agreement between you and the Platform Operator about the Platform. We may assign these Terms to a successor operator of the Platform with notice to you; you may not assign them without our written consent.
